These Terms & Conditions (“Terms”) govern your access to and use of the websites, web applications, and services operated by SCUBE Infotech (“we”, “us”, “our”), including scubeinfotech.com.sg and related products such as ChronoBill, AI Chatbot, and Service Desk 360 Pro (collectively, the “Services”). By accessing or using the Services, you agree to these Terms.
1. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and have authority to enter into these Terms on behalf of yourself or your organisation. If you use the Services on behalf of a company, you represent that you have authority to bind that company.
2. Accounts and authentication
Some Services require an account. You may register directly or sign in using third-party authentication such as Google Sign-In. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorised access.
When you use Google Sign-In, you also agree to Google’s terms and privacy policies. Our use of Google account data is described in our Privacy Policy.
3. Acceptable use
You agree not to:
- Use the Services for any unlawful purpose or in violation of applicable laws;
- Attempt to gain unauthorised access to systems, accounts, or data;
- Interfere with or disrupt the integrity or performance of the Services;
- Upload malware, spam, or harmful content;
- Reverse engineer or copy the Services except as permitted by law;
- Misrepresent your identity or affiliation.
4. Services and changes
We strive to keep the Services available and accurate but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Services with reasonable notice where practicable. Features marked as beta, preview, or “future” are provided as-is without commitment to release dates.
5. Intellectual property
All content, software, trademarks, and materials on the Services are owned by SCUBE Infotech or our licensors and are protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable licence to use the Services for their intended business purpose. You retain ownership of data you submit; you grant us a licence to host, process, and display that data solely to provide the Services.
6. Third-party services and links
The Services may link to or integrate with third-party websites or APIs (including Google). We are not responsible for third-party content or practices. Your use of third-party services is subject to their terms.
7. Disclaimer of warranties
To the fullest extent permitted by law, the Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. IT services involve inherent risks; you are responsible for backups and business continuity planning appropriate to your needs.
8. Limitation of liability
To the fullest extent permitted by Singapore law, SCUBE Infotech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Services. Our total liability for any claim relating to the Services shall not exceed the amount you paid us for the specific Service in the twelve (12) months before the claim, or SGD 100 if no fees were paid, whichever is greater.
9. Indemnity
You agree to indemnify and hold harmless SCUBE Infotech from claims arising from your misuse of the Services, violation of these Terms, or infringement of third-party rights through your content or conduct.
10. Termination
We may suspend or terminate access to the Services if you breach these Terms or if required for security or legal reasons. You may stop using the Services at any time. Provisions that by nature should survive termination (including intellectual property, disclaimers, and limitations of liability) will survive.
11. Governing law and disputes
These Terms are governed by the laws of the Republic of Singapore. Any dispute shall be subject to the exclusive jurisdiction of the courts of Singapore, unless mandatory consumer protection laws in your jurisdiction require otherwise.
12. Privacy
Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.
13. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date will reflect changes. Material changes may be communicated via the website or email where appropriate. Continued use after changes constitutes acceptance.
